SAMPLE MONTHLY AGREEMENT

RECURRING PAYMENT AGREEMENT

This Recurring Payment Agreement (“Agreement”) is effective on the date of sale with the purchase of Membership Products (“Passes”) and other related items (if applicable) between Seller, San Antonio Zoo whose primary business address is 3903 N. St. Mary’s Street, San Antonio, TX 78212 and whose website URL address is www.sazoo.org, and Buyer, whose identity and current contact information, including a valid e-mail address, is included in the purchaser’s information provided during this online purchase process. Buyer consents to entering into this Agreement electronically and to receive their copy of this Agreement and all related receipts, vouchers, and other notices (“Documents”) electronically via the e-mail address provided by Buyer. Buyer understands that the online electronic purchase will not be completed if consent to this Agreement, in its entirety, is not affirmed during this purchase process while on Seller’s website. Such consent and all such Documents shall remain archived in Seller’s records in accordance with Seller’s records retention policies, of which Buyer may receive a copy upon request. This Agreement and Buyer’s consent applies only to this single purchase transaction and associated Documents and does not apply to any past or future transactions. Buyer agrees to purchase from Seller the type and quantity of Passes and other related items (if applicable) indicated below. Buyer agrees to pay the initial payment today (first monthly payment for the recurring payment agreement items being purchased, plus the full price of additional items not eligible for recurring payments being purchased at the same time, including all applicable taxes and fees). Following the initial (first) monthly payment made today, Buyer agrees thereafter to pay the minimum of eleven (11) monthly payments for a total of twelve (12) monthly payments (“Minimum Term”), which will be billed to the credit or debit card provided (“Buyer’s Card”). Such recurring items, quantities, amounts, and payment schedule are detailed in Tables 1.1 and 1.2 below.

1. Recurring Payments. Buyer authorizes Seller to charge Buyer’s Card the amount(s) listed under Total Recurring Amount in the Buyer’s Recurring Payment Amount (Table 1.1) and for each of the recurring payments indicated in the Recurring Payment Minimum Term (Table 1.2). After all Minimum Term payments have been received, Buyer may terminate any future payments in accordance with the process outlined below in Buyer Cancellation. Partial and/or in person payments are not permitted. Buyer understands that all payments, and any late charges incurred, will be billed to Buyer’s Card (or other Seller-approved payment method provided by Buyer), according to Tables 1.1 and 1.2, presented below:

2. Minimum Term; Changes in Recurring Payment Amount. The Recurring Payment Amount will not change during the Minimum Term with the exception of sales taxes and other government-imposed fees which may be adjusted at any time without notice as required by law. Buyer agrees that Seller may change the Recurring Payment Amount any time after the expiration of the Minimum Term. Seller will provide notice electronically in advance no less than fourteen (14) days before charging Buyer’s Card for the new Recurring Payment Amount. If Buyer does not wish to continue this Agreement at the new payment amount, Buyer must cancel the Agreement as described in Buyer Cancellation. Buyer acknowledges that the Recurring Payment Amount in this Agreement may be different from others’ membership payments.

3. No Interest or Finance Charges. Seller shall not assess Buyer’s account, and will not charge Buyer’s Card, with any interest or other fees or costs classified as finance charges in connection with this purchase.

4. Conditional Actions & Fees. Buyer acknowledges, understands, and agrees that the following additional fees, charges, costs, and actions may be assessed or taken against Buyer or Buyer’s account or Buyer’s Card, at the sole discretion of Seller, but only if and when the described conditions apply to Buyer’s account.

4.a. Default. Buyer acknowledges that if any payment by credit card has failed or is reversed at any time during the term of this Agreement, Buyer’s Passes (to include all Passes purchased under this Agreement) will not be available for use until the past due balance is paid in full. Seller, and any of its assigned holders, agree to limit automated re-processing attempts to no more than once daily. BUYER UNDERSTANDS THAT THE PURCHASE OF PASSES IS NON-REFUNDABLE, REGARDLESS OF USAGE.

4.b. Collections. Buyer understands and agrees that SELLER HOLDS A SECURITY INTEREST IN THE PASSES BEING SOLD, and as such Seller shall have the right to assign this account, if in default, to a collection agency or firm for further collection efforts, which may result in additional charges including, but not limited to, attorney fees, court costs and other fees associated with efforts to collect the debt owed to Seller.

5. Past Due Balances. Buyer understands that additional Payment Plan or Recurring Payment accounts will not be made available to Buyer so long as a balance remains past due under any other Agreement with Seller.

6. Revocation and Suspension of Pass Privileges. Buyer acknowledges and understands that any and all privileges extended to passholders by Seller are subject to change, cancellation, or revocation by Seller at any time, and without prior notice.

7. Cancellation / Termination. Once an Agreement has been cancelled or terminated, it may not be reinstated. All Passes associated with this Agreement will be cancelled on termination of the Agreement. At such time as the Agreement is cancelled or terminated by either party, Buyer agrees to pay all past due invoice balances as well as any uncollected invoice payments as shown in Table 1.2. These payments will be assessed against Buyer’s Card at the time of cancellation or termination.

7.a. Buyer Cancellation. Buyer may at any time terminate or cancel the Agreement after the Minimum Term by 1) cancelling the agreement on the provided web portal, or 2) submitting a request to cancel this Agreement in writing to Seller at 3903 N. St. Mary’s Street, San Antonio, TX 78212 where the cancellation date will be the date the Seller receives said written notice. Buyer must cancel the Agreement NO LESS than seven (7) days before a scheduled payment is due to be invoiced. If Buyer cancels their Agreement less than seven (7) days before an invoice is due to be collected, Buyer agrees that Buyer’s Card will be charged for this final invoice and the Agreement will be considered terminated and no future payments will be collected.

7.b. Seller Termination. Seller may terminate or cancel the Agreement if Buyer becomes more than fifty (50) days past due on scheduled recurring payments. Seller will notify Buyer in writing electronically if the Agreement is terminated.

8. Miscellaneous. All Passes and associated items are subject to the rules and regulations set forth by the Seller. Passes are not valid for admission to private, non-general admission-based events. No refunds will be issued for closed dates, changes of operation hours or dates, rainouts, unused Passes or lost Passes. Passes may not permit holders to bring outside food, beverages, or coolers into the gated area of Seller’s venue. Operating dates, hours and general admission prices are subject to change without notice. Passes are not transferable once issued to an individual passholder. 9. Notice to Buyer. DO NOT SIGN THIS AGREEMENT BEFORE READING IT IN ITS ENTIRETY OR IF IT CONTAINS ANY BLANK SPACES TO BE FILLED IN. YOU ARE ENTITLED TO A COMPLETELY FILLED-IN COPY OF THIS AGREEMENT. IT IS AGREED BETWEEN THE PARTIES HEREOF THAT THE VENUE OF ADJUDICATION SHALL BE LOCATED IN THE COUNTY NEAREST TO THE SELLERS’S LOCATION STATED AT THE START OF THIS AGREEMENT. IT IS FURTHER AGREED BETWEEN THE PARTIES HEREOF THAT ANY RECOVERY ADJUDICATED SHALL BE LIMITED TO THE PROCEEDS, FEES, AND PENALTIES AS DEFINED HEREIN. KEEP A COPY OF THIS AGREEMENT TO PROTECT YOUR LEGAL RIGHTS.

As Buyer, I knowingly and willfully acknowledge that:

  • I am at least 18 years of age;
  • I am the same person whose name appears on the Buyer Card being used to make this purchase;
  • I have reviewed and understand all details of the financial transaction to which I am committing and as disclosed in the above numbered paragraphs and Tables 1.1 and 1.2, and I agree to the Recurring Payments described in this Agreement;
  • I understand that this Agreement and defined monthly payments will continue after the Minimum Term requirements have been met, on a month-to-month basis, until cancelled in writing by Buyer. The Minimum Term of this Agreement is twelve (12) months;
  • I have read and understand the terms and conditions of this entire Agreement;
  • I agree to be bound by this Agreement, as indicated by my typewritten name below.
